Terms of Service

Welcome to Opperium. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Services

Opperium provides workflow automation consulting services, including but not limited to workflow design and optimization, system integration, custom automation development, analytics and reporting, training and enablement, and ongoing support and optimization.

2. Account Registration

To access certain features of our services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and complete
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

3. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use our services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Transmit any viruses, malware, or harmful code
  • Engage in any activity that could damage, disable, or impair our services
  • Use automated systems to access our services without authorization
  • Reverse engineer, decompile, or disassemble any portion of our services

4. Client Responsibilities

When engaging our services, you agree to:

  • Provide timely access to necessary systems, data, and personnel
  • Ensure you have appropriate licenses for all third-party software and services
  • Review and approve deliverables in a timely manner
  • Maintain backups of your critical data
  • Comply with all applicable laws and regulations in your use of our services

5. Fees and Payment

Fees for our services will be specified in your service agreement or project proposal. You agree to:

  • Pay all fees according to the payment terms specified in your agreement
  • Provide valid payment information
  • Pay any applicable taxes
  • Notify us of any billing disputes within 30 days of the invoice date

Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services for non-payment.

6. Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and documentation, are owned by Opperium or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Custom automation solutions developed specifically for you will be owned by you upon full payment, unless otherwise specified in your service agreement. However, we retain ownership of our underlying methodologies, frameworks, and reusable components.

7. Confidentiality

We will maintain the confidentiality of your proprietary information and business data. However, this obligation does not apply to information that:

  • Is or becomes publicly available through no fault of ours
  • Is rightfully received from a third party without confidentiality obligations
  • Is independently developed by us without use of your confidential information
  • Must be disclosed pursuant to law or court order

8. Warranties and Disclaimers

We strive to provide high-quality services but cannot guarantee specific results. Our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that automation solutions may require ongoing maintenance and updates.

9. Limitation of Liability

To the maximum extent permitted by law, Opperium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with our services.

Our total liability for any claims arising from our services shall not exceed the amount paid by you for the specific service giving rise to the claim during the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Opperium, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of applicable laws or regulations

11. Term and Termination

These Terms remain in effect while you use our services. Either party may terminate the relationship with written notice as specified in your service agreement.

Upon termination, you must cease all use of our services. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, confidentiality obligations, disclaimers, and limitations of liability.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.

14. Dispute Resolution

In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiation. If negotiation is unsuccessful, the parties may pursue mediation before resorting to litigation.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and Opperium regarding our services and supersede all prior agreements and understandings.
